By accessing and using the LogisNexus platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these terms, you must not use our Service.

2. Description of Service

LogisNexus is a multi-tenant logistics management platform that provides tools for fleet operations, shipment tracking, invoicing, and supply chain management. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

4. Subscription & Billing

Certain features of our Service require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees associated with your chosen plan.
• Provide valid payment information and authorize recurring charges.
• Understand that subscriptions auto-renew unless cancelled before the renewal date.
• Refund requests are handled on a case-by-case basis within 14 days of purchase.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Infringe on the intellectual property or privacy rights of others.
• Upload or distribute malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to other accounts or systems.
• Resell, sublicense, or redistribute the Service without written consent.

6. Data Ownership

You retain ownership of all data you upload to the platform. We do not claim any intellectual property rights over your content. However, you grant us a limited license to process, store, and display your data as necessary to provide the Service.

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control, including but not limited to natural disasters, third-party failures, or scheduled maintenance.

8. Limitation of Liability

To the maximum extent permitted by applicable law, LogisNexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the event giving rise to the claim.

9. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, if we determine that you have violated these Terms. Upon termination, your right to use the Service will immediately cease. You may export your data before termination takes effect.

10. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or through an in-app notification. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LogisNexus operates, without regard to conflict of law principles.
